Record Keeping

Keeping good accounting and corporate records is critical to the success of your business. Good records will not only help you succeed financially, but will also help protect your company from fraud, improve your credit rating, help you prepare for tax time and help protect you in the case of an audit. 

Accounting and corporate records are fairly easy to keep track of as long as you stay on top of them; do not let your records pile up for a few months before you organize them.  If you are a smaller company you should set aside certain days of the month to do your accounting and filing, keep those days the same every month.  I usually choose the 1st and the 15th of each month to do a majority of the work; these days are good for bill paying and break the month into two equal parts.  If you are a larger company set a weekly schedule for each task.  This approach will help you avoid the inefficiencies of  jumping around from issue to issue as they occur.  There will be other transactions that occur during the month, but if you have a good system it will be easy to keep accurate, organized records.

Understanding Your Mission Statement

Your Mission statement will capture the essence of your business goals and the philosophies underlying them in a few short sentences.  This statement will signal to you, your customers, employees, suppliers and community what your business is all about.  It will clarify what business you are in and reflect every aspect of your business from who your customers are, to quality and customer service.  Your Mission statement will help you keep the company focused on what is important to your success.

Xyz Inc is a company devoted to developing human potential through education.  Our Mission is to provide people the knowledge it takes to create innovative solutions and make informed decisions that will unlock their personal and professional potential.  We accomplish this through focused educational seminars, motivational training and mentoring.   

Example

ABC Company is a specialty produce supplier focused on direct sales to executive chefs servicing the restaurant and hotel industries. The company provides high quality, specialty produce delivered directly to the customer within 24 hours from the time of order, anywhere in the United States.  Product knowledge, product availability, ease of ordering, and customer service differentiate and define our service.  Our motto is:  “From garden to gourmet in just one day.”

EXEMPT vs. NON-EXEMPT Employees

There has been a lot of misunderstanding on this subject by both employers and employees.  Being classified as “exempt” generally means an employee is not subject to either your state’s labor code or the federally mandated Fair Labor Standards Act (FLSA).  In short, the exempt classification means the employee does not have to be paid for working overtime.  To get a better understanding we must first have a clear definition of the Exempt and Non-Exempt employee classifications.

Exempt – An exempt employee is not subject to any of the laws pertaining to overtime, uniforms and equipment, meal and break periods.  An exempt employee is usually an executive, administrative, managerial, or professional employee; some artists, computer professionals and outside sales people can also be classified as exempt in certain conditions.

Non-exempt – A non-exempt employee is subject to all Wage Order rules and wage laws including but not limited to overtime pay, meal and break periods, uniform and equipment requirements.

To determine an employee’s exempt status, your company must follow the more stringent of the regulations outlined by either your state’s labor code or the Federal Labor Standards Act (FLSA).  If your state doesn’t have a labor code, then you must follow the FLSA.  In California, California law provides greater protection than the FLSA, therefore California Law trumps FLSA.  If you do not adhere to the proper law in your state you may face stiff fines and penalties. 

Under California law an employer must pay overtime to non-exempt employees when they work more than 8 hours in a day or more than 40 hours in a week.  If the employee is classified under the law as exempt then the overtime rules do not apply.  For example, professional, administrative, and executive employees are exempt from overtime pay. The definition of a professional, administrative or executive employee is as follows:

  1. Is “engaged in work which is primarily intellectual, managerial, or creative,” and “which requires exercise of discretion and independent judgment,” and
  2. Is paid a monthly salary equivalent to at least twice the state minimum wage for full time employees.

According to California Law an employee is “primarily” engaged in intellectual, managerial, or creative work if more than half of his or her work time is devoted to such duties. Thus, California law focuses on the amount of time the employee spends on his or her specific duties. This law is very different than the comparable law under the FLSA, which focuses on the “primary duty” or the reason for which the employee was hired.

One common misconception is that all employees receiving a salary are classified as exempt; this is not true.  The determination is not whether and employee receives a salary or not, but whether or not the employee falls under the guidelines set by law for an exempt employee; salary is not the determining factor. 

Another common misconception is that employees who are paid commissions are exempt; this is also not correct.  Although there is an exemption for outside sales people who “customarily and regularly work more than half the working time away from the employer’s place of business selling tangible or intangible items or obtaining orders or contracts for products, services or use of facilities,” there is no exemption for inside sales people.

Employers need to keep in mind that if the employer fails to compensate an employee for proper overtime pay, the employer may be subject not only to the unpaid wages, but also to liquidated damages in an amount equal to the overtime wages, interest, the employee’s attorney’s fees, and costs.  Not adhering to the law can be a costly mistake.
